01Acceptance of Terms

By accessing and using Aura software and related services (collectively, the "Service") provided by Neural Intelligence, Inc. ("Company," "we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Service.

02Description of Service

Aura is an AI-powered desktop application that operates on your device to execute tasks by interacting with your operating system. The Service includes:

• AI processing and task execution
• Computer actions, connected services, and skills
• Natural language interaction, realtime voice, and personal memory
• Operating system integration capabilities
• Software updates and maintenance
• Technical support and documentation

03User Accounts and Registration

To access certain features of our Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Multiple accounts, free trials, and usage limits

You must not create, control, or use multiple accounts to bypass usage limits, obtain repeated free trials or promotional credits, or evade account restrictions. This includes using different email addresses, email aliases, capitalization variants, identities, or devices for that purpose. Unless an offer expressly states otherwise or we authorize it in writing, each person may claim each free trial or promotional offer only once for the applicable product. Legitimate use of both NeuralAgent and Aura does not itself violate this rule; each product remains subject to its own offer eligibility and usage limits.

04Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to harm, harass, or defame others
• Reverse engineer, decompile, or disassemble the software
• Use the Service for competitive analysis or benchmarking

05Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Neural Intelligence, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software without permission
• Remove or alter copyright notices or proprietary markings
• Use our trademarks or trade names without written consent
• Create derivative works based on our intellectual property

06Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to such collection and use.

07Payment Terms and Subscription

08Subscription Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually), as selected at the time of purchase or upgrade. By subscribing or upgrading, you authorize us to charge your selected payment method for the applicable subscription fee.

Annual plans are billed upfront for the full annual term.

09Upgrades and Plan Changes

If you upgrade from one plan to another, including from a monthly plan to an annual plan, you authorize immediate billing for the new plan at the time of upgrade. The applicable billing frequency (monthly or annually) and pricing are displayed prior to confirmation of the upgrade.

10Refund Policy

Due to the immediate access to digital services and premium features upon activation, all subscription payments are final and non-refundable, except where required by applicable law.

This includes, without limitation:

• Annual subscription purchases
• Monthly subscription purchases
• Plan upgrades (including upgrades from monthly to annual billing)
• Partial billing periods
• Unused time within an active subscription period

By completing a purchase, you acknowledge and agree that access to the Service is provided immediately upon activation. Any level of usage, including login activity or feature interaction, constitutes full delivery of the Service. Failure to use the Service does not entitle you to a refund.

Cancellation of a subscription will prevent future renewals but does not entitle the user to a refund of any fees already paid.

We reserve the right to grant refunds solely at our discretion in exceptional circumstances.

11Active Usage

If a subscription has been accessed or used after activation, including but not limited to login activity, feature usage, or any interaction with the Service, the subscription is considered fully delivered and is not eligible for a refund.

12Exceptional Circumstances

We may, at our sole discretion, provide partial or full refunds in exceptional cases, including verified technical issues that prevent access to the Service. Any such refund is granted as a goodwill gesture and does not create an obligation for future refunds.

13Chargebacks

By agreeing to these Terms, you agree to contact us first to resolve any billing issues before initiating a chargeback or payment dispute.

We reserve the right to dispute any chargeback with evidence of account activity, usage logs, and acceptance of these Terms. Initiating a chargeback in violation of this policy may result in immediate suspension or permanent termination of your account.

Aura usage and credits

Aura Pro renews at the monthly or annual price shown at checkout unless cancelled. Annual subscriptions are paid upfront; included usage is allocated monthly. Unused monthly usage expires at the end of its monthly allocation period and does not roll over.

Where offered, the one-time $3 promotional credit for new Aura users expires seven days after it is granted. Purchased Aura credits expire one year after purchase. These three credit types are separate from NeuralAgent credits, are not cash, and may be used only for Aura usage. Model processing, including voice and task execution, consumes credits at Aura’s applicable usage rates, which include a service markup.

Users may purchase credits without a subscription. Pro benefits continue until the paid period ends after cancellation; subsequent usage is charged at pay-as-you-go rates. Remaining purchased credits remain usable until their expiry. When available credits run out or expire, processing may stop until you upgrade, receive your next eligible allocation, or purchase credits if eligible.

Manage or cancel your subscription through Settings Billing Manage subscription. Cancellation stops future renewal; your membership continues through the paid period unless otherwise stated. Statutory consumer rights and refunds required by law are unaffected.

14Software License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Aura software for your personal or business use. This license:

• Is valid only for the duration of your subscription or license
• Does not include the right to sublicense or distribute
• May be terminated for violation of these Terms
• Is subject to any additional license agreements

15Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding accuracy, reliability, or completeness
• Warranties that defects will be corrected

IN NO EVENT SHALL NEURAL INTELLIGENCE, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY.

16Indemnification

You agree to defend, indemnify, and hold harmless Neural Intelligence, Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

17Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Violation of applicable laws

If we determine that accounts are being used to circumvent these rules, we may suspend or terminate the associated accounts and restrict eligibility for further trials or promotional offers. We may, at our discretion, permit continued use through one designated account, subject to its existing limits and remaining eligible credits; this does not reset an exhausted trial or allowance.

If your access is suspended or terminated, you must not create new accounts or use other accounts to evade that restriction without our written authorization. Accounts used to evade enforcement may be suspended or terminated without further notice, subject to applicable law. Further circumvention may also result in suspension of any account we previously permitted you to retain.

If you believe an account restriction was applied in error, contact hello@getneuralagent.com with the relevant account details so we can review it.

Upon termination, your right to use the Service will cease immediately, and you must destroy all copies of the software in your possession.

18Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

19Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

20Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Neural Intelligence, Inc. regarding the Service and supersede all prior agreements and understandings.

21Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

23Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, natural disasters, government actions, or other similar events.

24Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any party at any time without notice to you.
